These Terms and Conditions ("Terms") govern your use of the Shindig Social Club mobile application and related services (the "Service"), provided by SHINDIG SOCIAL LLC ("we," "us," or "Shindig").
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. Section 15 contains a binding arbitration agreement and class action waiver that affect your legal rights. Please read it carefully. If you do not agree, do not use the Service.

1. Eligibility
You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this requirement.
The Service is currently available only to residents of the United States. Physical Social Pass cards ship only within the United States.

2. Account Registration
You agree to provide accurate, current, and complete information when creating your account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
Notify us immediately of any unauthorized access. We are not liable for losses caused by unauthorized account use you fail to report promptly.

3. The Service
Shindig is a social club app paired with a physical NFC card ("Social Pass") that enables intentional device locking via Apple's Family Controls framework. Membership includes:

The ability to lock and unlock chosen apps on your iPhone using your Social Pass
A physical Social Pass NFC card mailed to your address
Access to member-only events and Eventbrite ticket discounts
Optional Emergency Unlock purchase ($2 USD, processed by Apple In-App Purchase)
Additional benefits as described in the app

The Service is provided "as is." We may add, modify, or remove features at any time.

4. Membership and Payment
4.1 Standard membership
Membership is a $39.99 USD annual subscription, billed in advance and automatically renewed each year unless cancelled.
Payment is processed by Stripe. By subscribing, you authorize us (via Stripe) to charge your selected payment method for the membership fee and any applicable taxes.
4.2 Founding Members
Users designated as "Founding Members" receive complimentary membership for life, provided we continue to operate the Service. Founding Member status is granted only to individuals identified on our founding-members list and is not transferable.
4.3 Auto-renewal and cancellation
Memberships automatically renew at the end of each billing period. You may cancel at any time:

In the app: Settings → Membership → Cancel Membership
Via the Stripe customer portal: linked from the app

Cancellation takes effect at the end of the current billing period. You retain access until then. We do not provide refunds for partial periods.
4.4 Refund policy
Membership fees are non-refundable except where required by law. If you are dissatisfied, please contact admin@shindigsocial.com within 14 days of your initial purchase and we will consider refund requests on a case-by-case basis.
4.5 Emergency Unlock
The Emergency Unlock is a $2 USD non-refundable consumable purchased via Apple In-App Purchase. Apple's terms govern this purchase. Refund requests for Apple IAP must be made directly to Apple.
4.6 Price changes
We may change membership pricing with at least 30 days' notice. Price changes apply to renewals after the notice period; your current billing period is honored at the original price.

5. Physical Social Pass Card
Active members receive one physical NFC Social Pass card shipped to a US mailing address. The card is the property of SHINDIG SOCIAL LLC while your membership is active.

Replacement: Lost or damaged cards may be replaced at our discretion; a replacement fee may apply.
Delivery: Shipping is fulfilled via Shopify and ShippingEasy. Tracking is provided in-app once your order ships.
Returns: We do not accept returns of activated Social Pass cards.

If your membership ends, you may retain the physical card, but the in-app pairing and lock functionality require an active membership.

6. Acceptable Use
You agree not to:
Use the Service for any unlawful purpose
Reverse engineer, decompile, or attempt to extract the source code of the app
Share your account with others
Use the Service to harass, defraud, or harm other users
Attempt to bypass the lock mechanism, the Stripe payment system, or any access control
Use automation, bots, or scripts to interact with the Service
Resell or commercialize access to the Service
Misrepresent your identity, age, or location

We may suspend or terminate your account for violations of these rules.

7. App Locking and Limitations
Shindig uses Apple's Family Controls framework to shield apps you select on your device. You acknowledge that:

The lock is a behavioral tool, not a security guarantee. Apple's framework can be bypassed by various means including device restart, removal of Screen Time authorization, or factory reset.
We do not promise that locked apps cannot be accessed.
The "time saved" metric is an estimate based on recorded lock session durations and may include device sleep, app backgrounding, or other states.
Family Controls authorization is required for lock functionality. Revoking it disables the lock.
We never see the names or identifiers of apps you select to allow during lock — Apple provides only opaque tokens.

Use the Service as a tool to support your own intentional habits, not as a means of restricting another person.

8. Member Events and Eventbrite
Member events are sourced from Eventbrite. Ticket purchases and event participation are subject to Eventbrite's terms of service and any additional terms of the event organizer. Discounts shown to members are applied at checkout via Eventbrite.

9. Intellectual Property
All content in the Service — including text, graphics, logos, app design, the Socialite newspaper, and software — is owned by SHINDIG SOCIAL LLC or our licensors and is protected by copyright, trademark, and other laws.
You may use the Service for personal, non-commercial purposes only. You may not copy, modify, distribute, or create derivative works without our written permission.
The Shindig and Social Pass names and logos are trademarks of SHINDIG SOCIAL LLC.

10. Third-Party Services
The Service integrates with third-party services including Apple, Google Firebase (including Firebase Analytics), Stripe, Shopify, ShippingEasy, Flodesk, and Eventbrite. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of third parties.

11. Termination
You may delete your account at any time via Settings → Account → Delete Account. Deletion redacts your personal information within 30 days as described in the Privacy Policy.
We may suspend or terminate your account at any time if you violate these Terms or if we discontinue the Service. We will use reasonable efforts to give you advance notice. On termination, unused membership time may be forfeited.

12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, including warranties of merchantability, fitness for a particular purpose, non-infringement, and continuous availability.
We do not warrant that:

The Service will be uninterrupted or error-free
The lock mechanism cannot be bypassed
Your data will never be lost
Third-party services we integrate with will remain available


13. Limitation of Liability
To the maximum extent permitted by law, SHINDIG SOCIAL LLC is not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.
Our total aggregate liability for any claim related to the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.
Some jurisdictions do not allow these limitations; in those cases, our liability is limited to the maximum extent permitted by law.

14. Indemnification
You agree to indemnify and hold harmless SHINDIG SOCIAL LLC and our officers, employees, and agents from any claims, damages, or expenses arising from your violation of these Terms or your misuse of the Service.

15. Governing Law, Disputes, and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND SHINDIG SOCIAL LLC TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT, AND IT WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT OF THIS SECTION 15 BY FOLLOWING THE INSTRUCTIONS IN §15.7 BELOW.
15.1 Governing law
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. The Federal Arbitration Act ("FAA") governs the interpretation and enforcement of the arbitration agreement in this Section 15.
15.2 Informal dispute resolution first
Before starting an arbitration or going to small claims court, you and Shindig agree to try to resolve the dispute informally for at least 60 days. To start, send a written notice to admin@shindigsocial.com that includes (a) your name and the email associated with your account, (b) a description of the dispute, and (c) the relief you are seeking. We will send our notice to the email address on your account. We both agree to negotiate in good faith during the 60-day period. If the dispute is not resolved, either party may start arbitration. The statute of limitations and any filing-fee deadlines are tolled during this informal-resolution period.
15.3 Agreement to arbitrate
Except for the matters listed in §15.4, you and Shindig agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or our relationship — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether arising before or after these Terms — will be resolved by binding individual arbitration rather than in court.
15.4 Exceptions
The following are not subject to arbitration and may be brought in court:

Either party may bring an individual claim in small claims court in Maricopa County, Arizona, so long as the claim stays in that court and is brought on an individual (non-class) basis.
Either party may seek injunctive or other equitable relief in court to protect intellectual property rights, prevent unauthorized access to the Service, or address misuse of confidential information.

15.5 Arbitration rules and provider
Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules in effect at the time arbitration is started (currently the AAA Consumer Arbitration Rules as amended effective May 1, 2025), as modified by these Terms. The AAA's rules are available at www.adr.org. If the AAA is unavailable or unwilling to administer the arbitration consistent with these Terms, the parties will mutually select an alternative arbitration provider whose rules and procedures are substantially similar.
15.6 Arbitration procedure and fees

Location. The arbitration will be held in Maricopa County, Arizona, or — at your election — by telephone, video, or based on written submissions only, in accordance with AAA rules.
Arbitrator. A single, neutral arbitrator will be selected under the AAA's rules.
Fees. Shindig will pay all AAA filing, administrative, and arbitrator fees for any arbitration you start, except that if the arbitrator finds your claim to be frivolous, you may be required to reimburse Shindig for fees the AAA would not have charged had you filed in court. If the AAA fees exceed what you would have paid to file a similar claim in court, Shindig will pay the difference.
Discovery and evidence. The arbitrator will allow the discovery or exchange of non-privileged information relevant to the dispute, consistent with the AAA Consumer Arbitration Rules.
Authority of arbitrator. The arbitrator has the authority to grant any individual remedy that a court could grant under applicable law, including statutory damages, attorneys' fees, and injunctive relief on an individual basis. The arbitrator does not have authority to award class-wide, collective, or representative relief.
Written decision. The arbitrator will issue a written decision explaining the essential findings and conclusions.
Confidentiality. The arbitration and the arbitrator's decision will be kept confidential by both parties except as needed to enforce the decision or as required by law.
Judgment. Judgment on the arbitrator's award may be entered by any court of competent jurisdiction.

15.7 Right to opt out
You may opt out of this arbitration agreement (Section 15) by sending a clear written notice of your decision to opt out to admin@shindigsocial.com within 30 days of first accepting these Terms. Your notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms or your use of the Service, and we will not retaliate against you for opting out. If you opt out, disputes will be resolved in the courts described in §15.9.
15.8 Class action waiver
YOU AND SHINDIG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of class or representative proceeding.
If a court decides that this class action waiver is unenforceable as to any particular claim or request for relief, that claim or request must be brought in court and stayed pending arbitration of any remaining individual claims. The rest of this Section 15 remains in full force.
15.9 Court proceedings
For any dispute not subject to arbitration (including disputes by users who opt out under §15.7, claims permitted in small claims court, and claims for equitable relief described in §15.4), you and Shindig agree to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona, and consent to personal jurisdiction in those courts.
15.10 Severability and survival
If any portion of this Section 15 is found unenforceable, the remaining portions remain in effect, except that if the class action waiver in §15.8 is found unenforceable as to a particular claim, that specific claim will proceed in court under §15.9. This Section 15 survives termination of your account or these Terms.

16. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via in-app notice or email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

17. Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and SHINDIG SOCIAL LLC regarding the Service and supersede any prior agreements.
If any provision is held unenforceable, the remaining provisions remain in effect.
